Terms of Service

These terms govern your use of FullSeat, the website and service operated by OrgFrame AI Inc ("we", "us"). By creating an account or using the service you agree to them. If you use FullSeat on behalf of a business, you confirm that you may bind that business, and "you" means the business. Prospects who join a meeting through a FullSeat link agree to the sections marked as applying to them.

1. The service

FullSeat lets you create AI sales agents: an animated, speaking presenter built from a portrait and the knowledge, scripts and demos you provide, which meets prospects on video calls, presents, answers questions and reports back. The agent speaks what its script and AI model produce from your material; you are responsible for what you give it and for reviewing how it represents your business.

2. Your account

  • You must be at least 18 and provide accurate information. Keep your sign-in details safe; you are responsible for what happens under your account.
  • One person may create an organisation and invite colleagues; the organisation's admins control its agents, data and billing.
  • We may suspend or close accounts that break these terms, after notice where that is practical.

3. Plans, billing and cancellation

  • Scheduled Agents plans (Starter, Standard, Scale) are billed monthly plus a charge for every standard meeting, which is each 30 minutes of talk time, at the plan's rate. Usage is reported when a meeting ends and invoiced with the next monthly bill.
  • Instant Agents plans (Engage, Expand, High Traffic) and Enterprise (sold in units of three concurrent meetings) are flat monthly fees for dedicated capacity; the number of meetings that can run at once is the plan's concurrency. Enterprise units can be added or removed in threes, with the change priced for the rest of the billing period.
  • Plan changes take effect at once; a higher plan is charged for the remainder of the period, a lower plan keeps the current period and its price. Cancelling stops renewal at the end of the paid period; there are no refunds for partial periods except where the law requires.
  • Prices exclude taxes we must collect. We may change prices with at least 30 days' notice; the new price applies from your next renewal.
  • Billing is handled by Stripe under its own terms. Failed payments may lead to suspension after notice.

4. Meetings and prospects

  • Prospects book at least 30 minutes ahead through your scheduling link, or join instant links when your plan provides dedicated capacity. An agent joins shortly before the scheduled time and a meeting ends at its scheduled length plus the overrun you configure.
  • Meetings are transcribed, not recorded as video. You are responsible for telling prospects, where the law where they are requires it, that they are speaking with an AI agent and that the conversation is transcribed; FullSeat identifies the agent as an AI agent of your business.
  • You may use prospect information only for the business purpose the prospect engaged with you for, and in line with your own privacy policy and applicable law.
  • For prospects: the agent you meet is operated by the business whose link you used, not by us; that business is responsible for what the agent says and for your information. Do not share passwords, payment card numbers or other secrets in a meeting.

5. Portraits, voices and your content

  • You keep ownership of the knowledge, documents, slides, videos, scripts and photos you upload. You give us the licence we need to store, process, display and transmit them to run the service, including to the providers named in our Privacy Policy.
  • Use only portraits you have the right to use. Our library portraits are licensed to you for use as your agents' appearance within FullSeat. If you upload your own photo, it must be of you, or of someone who has given you clear permission to animate their likeness and attach a synthetic voice to it, or a picture you otherwise have the rights to. Do not upload photos of public figures, of anyone under 18, or of anyone who has not consented.
  • Agent voices are synthetic voices designed from the portrait and your description; they are not recordings and may not be used to imitate a specific real person.
  • We may remove content or portraits that we reasonably believe break these terms or the law.

6. Acceptable use

You agree not to use FullSeat to:

  • deceive prospects about who or what they are talking to beyond the agent's presentation as an AI agent of your business, or make false, misleading or unlawful claims;
  • send spam, contact people who have asked not to be contacted, or break telemarketing, anti-spam or privacy laws;
  • impersonate a real person without their permission, or use anyone's likeness or voice without the rights to do so;
  • upload malware, probe or disrupt the service, or access other customers' data;
  • resell the service or use it to build a competing product by systematic extraction of its outputs.

7. Integrations and third parties

CRM, calendar and email connections are optional and are governed by those services' own terms. We are not responsible for them, and a change on their side may stop an integration working. Payments are handled by Stripe, the avatar by PortraitFlow and the models by the AI providers named in our Privacy Policy; their availability affects ours.

8. Availability and changes

We work to keep FullSeat available and the agents responsive, but the service is provided as is; we do not promise it will be uninterrupted or error-free, that every meeting will connect, or that an agent's statements will be accurate. We may change or retire features with reasonable notice when the change affects your use.

9. Intellectual property

FullSeat, its software, designs, library portraits and brand belong to OrgFrame AI Inc and its licensors. These terms give you no rights in them other than the use the service is built for.

10. Liability

To the fullest extent the law allows, OrgFrame AI Inc is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from the service, and our total liability for any claim is limited to the fees you paid us in the twelve months before the claim. You will indemnify us against claims arising from your content, your portraits, your agents' statements and your use of prospect information in breach of these terms or the law.

11. Termination

You may close your account at any time; your agents, portraits and voices are then deleted and meeting records are removed within 30 days except where we must keep records by law. We may end the agreement for a material breach that is not fixed within 14 days of notice, or at once for unlawful use.

12. General

These terms are governed by the laws of the United States and of the state where OrgFrame AI Inc is organised, and disputes go to the courts there, unless the law where you live gives you a right to something else. If a clause is unenforceable the rest stays in force. We may update these terms; material changes are announced by email or in the dashboard at least 14 days before they take effect, and continuing to use the service after that date accepts them.
